# Voting on a deal

> How the investment decision process works in AngelHub and how to record your vote.

## How investment decisions work

Angel investment is individual, not collective. Each angel decides independently whether to invest and how much. There is no binding group vote — the "vote" in AngelHub is a way of gauging group sentiment and helping the Project Lead and admin understand who is interested and at what level.

That said, the group's collective view matters. A deal where most angels are interested proceeds to closing. One where few angels express interest is typically declined, even if a small number want to invest.

## The voting process

When the Project Lead has completed DD and presented their recommendation, the admin opens a vote. You'll receive a notification.

To vote:

1. Open the project
2. Go to the **Vote** tab
3. Read the Project Lead's recommendation if you haven't already
4. Select your response:
   * **Interested** — you intend to invest (enter the amount you are considering)
   * **Interested, subject to conditions** — you are interested but have specific questions or conditions
   * **Not investing** — you are declining this deal
   * **Undecided** — you need more time or information
5. Add a note if you wish (optional — notes are visible to the Project Lead and admin)
6. Click **Submit vote**

## What happens with your vote

The Project Lead and admin can see the aggregate vote results — how many angels are interested, the total amount indicated, and any conditions raised. Individual votes are visible to admins and the Project Lead, but not to other angels.

If the indicated interest is sufficient to fund the round (or the group's target participation), the admin moves the project to Closing. If interest is too low, the project is typically declined.

## Your indicated amount is not a commitment

Entering an amount in the vote is an expression of interest, not a legal commitment to invest. The formal commitment happens at the Closing stage when you sign the investment agreement.

You can change your mind between voting and signing. If your circumstances change or you have new concerns after voting, inform the Project Lead or admin promptly.

## Changing your vote

You can change your vote at any time before the vote closes. Go to the Vote tab and update your response. The Project Lead and admin will see the updated vote.

## If you miss the vote deadline

Speak to your group admin. Votes typically remain open for 5–7 days. If the vote has closed, the admin may be able to accommodate a late indication of interest depending on where the closing process is.

## After the vote — Closing

If you voted Interested and the deal proceeds to Closing, you will be contacted by the admin or Project Lead with the legal documentation. Review the investment agreement and shareholders agreement carefully before signing.

<Warning>
AngelHub provides information to support your investment decision but is not a regulated financial adviser. Before making any investment, ensure you understand the risks. Angel investment is high risk — you may lose all of the money you invest. EIS and SEIS relief can reduce but not eliminate this risk.
